These General Terms and Conditions (“GTC”) apply to all business-to-business export sales made by AQTZ AB to Clients established outside the European Union, including but not limited to the United Kingdom, United States, Canada, Asia, and other international territories.
Consumers are expressly excluded.
Art. 1 – Definitions
1.1. The following terms shall have the meanings defined below:
“Account”
Secure login credentials granting access to Aquitaz B2B systems, wholesale portals, or restricted ordering areas.
“Client”
A legal entity or sole trader established outside the European Union purchasing Products for business purposes only.
“Contract”
The legally binding agreement consisting of these GTC, order confirmations, invoices, quotations, and accepted orders.
“Products”
Trading card games (TCG), collectibles, sealed products, accessories, and related goods sold by AQTZ AB.
“Seller”
AQTZ AB (“Aquitaz”), Sweden, Org. no. 559527-8598.
“Site”
www.aquitaz.se and any associated B2B systems or portals.
Species. 2 – Scope and Applicability
2.1. These GTC apply exclusively to export B2B transactions.
2.2. By placing an order, the Client accepts these terms in full.
2.3. Consumer protection laws, withdrawal rights, and distance selling regulations do not apply.
2.4. AQTZ AB reserves the right to update these GTC. The version in force at the time of order shall apply.
Species. 3 – Registration & Account Use
3.1. Clients must provide valid company registration details.
3.2. AQTZ AB reserves the right to approve or reject registrations.
3.3. The Client is responsible for all activity under its Account.
3.4. Orders placed via Account are legally binding.
Species. 4 – Orders & Contract Formation
4.1. Orders constitute purchase offers.
4.2. Orders become binding only upon written confirmation.
4.3. AQTZ AB reserves the right to reject or cancel orders due to:

Pricing errors
-
Allocation shortages
-
Compliance or export concerns
Species. 5 – Preorders & Allocations
5.1. Preorders are subject to distributor and supplier allocation.
5.2. AQTZ AB reserves the right to reduce, modify, or cancel allocations.
5.3. Allocation changes do not constitute breach of contract.
5.4. Confirmed preorders are binding and non-cancelable.
5.5. Release dates and delivery timelines are estimates only.
Art. 6 – Pricing & Currency
6.1. Prices are stated excluding VAT, duties, and import taxes.
6.2. Exchange rate fluctuations and international banking fees are the responsibility of the Client.
6.3. AQTZ AB reserves the right to adjust pricing due to:

Supplier price increases

Currency volatility
-
Tariffs or trade regulations
-
Logistics cost changes
Species. 7 – Export Compliance & Trade Regulations
7.1. The Client is responsible for complying with all import laws and regulations in the destination country.
7.2. AQTZ AB is not liable for customs seizures, regulatory holds, or import refusals.
7.3. AQTZ AB does not sell to sanctioned countries, entities, or individuals in violation of EU, UN, UK, or US sanctions laws.
7.4. The Client may not resell or redirect goods to sanctioned jurisdictions.
Species. 8 – Delivery & Risk Transfer
8.1. Deliveries are made FCA Aquitaz warehouse (Incoterms® 2020) unless otherwise agreed.
8.2. Risk transfers to the Client once the goods are handed over to the first carrier.
8.3. Delivery timelines are estimates only and not legally binding.
8.4. AQTZ AB is not liable for customs clearance delays.
Species. 9 – Shipping Cost Adjustments
9.1. Shipping quotes are estimates based on carrier pricing at the time of calculation.
9.2. AQTZ AB reserves the right to adjust shipping costs prior to dispatch in case of:

Carrier rate changes

Fuel surcharges
-
Peak season surcharges
-
Remote area surcharges
-
Dimensional weight recalculations
-
Security or emergency surcharges
9.3. The Client will be notified before dispatch of any adjustments.
Species. 10 – Tariffs, Duties & Import Charges
10.1. All import duties, tariffs, VAT, brokerage fees, and customs charges are the sole responsibility of the Client.
10.2. AQTZ AB has no control over customs assessments.
10.3. Refusal to pay import charges does not justify cancellation or refund.
10.4. Returned shipments due to unpaid customs may incur return freight and administrative fees.
Species. 11 – Lost Shipments & Transport Liability
11.1. AQTZ AB is not liable for loss, theft, or disappearance of goods after carrier handover.
11.2. Carrier liability is limited under applicable international transport conventions.
11.3. Claims must be submitted within 7 days of the last tracking update.
11.4. AQTZ AB assists investigations but does not guarantee compensation.
11.5. Shipments marked as delivered by the carrier are deemed fulfilled.
Species. 12 – Inspections & Complaints
12.1. Goods must be inspected upon arrival.
12.2. Transport damage must be reported within 24 hours with photographic evidence.
12.3. Product defects must be reported within 8 days.
12.4. Failure to report within deadlines voids claims.
Species. 13 – Product Condition (TCG Clause)
13.1. Factory sealing standards vary by manufacturer and region.
13.2. Absence of shrink wrap does not constitute a defect unless explicitly stated.
13.3. Minor shelf wear is not considered damage.
Art. 14 – Warranty
14.1. Remedies may include replacement, store credit, or partial refund at AQTZ AB's discretion.
14.2. Warranty is void in cases of misuse, mishandling, or repackaging.
Species. 15 – Payment Terms & Default
15.1. Payment terms are stated on the proforma or invoice.
15.2. Unpaid proforma invoices may result in order cancellation.
15.3. AQTZ AB may cancel pending orders in case of payment default.
15.4. Deposits may be retained to cover losses and administrative costs.
Species. 16 – Refused / Abandoned Shipments
16.1. If shipments are refused, abandoned, or destroyed due to unpaid customs or regulatory issues, the Client remains financially liable.
16.2. Return freight, storage, and administrative fees may be charged.
Species. 17 – Limitation of Liability
17.1. AQTZ AB is not liable for indirect or consequential damages, including loss of profit.
17.2. Total liability is limited to the value of the affected order.
Article 18 – Force Majeure
18.1. Includes war, sanctions, customs embargoes, logistics disruptions, pandemics, and supplier failures.
Species. 19 – Governing Law & Jurisdiction
19.1. These GTC are governed by Swedish law.
19.2. Disputes shall be settled in Swedish courts with jurisdiction at the Seller's registered office.
Art. 20 – Final Provisions
20.1. Invalid clauses do not affect remaining provisions.
20.2. Amendments must be in writing.
